Pursuant to the stipulation of Article 29 of the Lawyer Law of the People’s Republic ofChina and for the purpose of retainer of the lawyers of Party B (“Legal Counsel”), bothparties agree to enter into and be subject to the following provisions:

1．Party A hereby is willing to retain the lawyers of Party B to be its Annual LegalCounsel to satisfy its business needs. Party B hereby decides to accept the request ofretaining from Party A. In consideration of mutual covenants and agreements, Party Bappoints the following lawyers to be the Legal Counsel of Party A:

1.1　Should the said Legal Counsel fail to perform the duties contained herein,, PartyB shall designate another competent lawyer to perform the duties.

1.2　Should the lawyer appointed by Party B be deemed incompetent as Legal Counselby Party A, Party A shall have the right to request Party B for appointment of anotherlawyer.

根据《中华人民共和国律师法》第二十九条的规定，为聘请乙方律师（下称“法律顾问”），甲乙双方同意并遵守以下条款：

一、甲方为满足其业务需要，特聘请乙方律师担任其年度法律顾问。乙方确定接受甲方的聘请请求，经双方协商一致，乙方指派以下律师担任甲方的法律顾问：

1.1 如上述法律顾问不能履行本协议约定的职责，乙方应另行指派有能力的律师履行该职责。

1.2 如甲方认为乙方指派的律师不胜任法律顾问工作，甲方有权要求乙方另行指派律师。

2．The said Legal Counsel shall, at the request of Party A at any time of the effective period of this Contract, provide the following legal services to Party A under thejurisdiction of the People’s Republic of China domestically and internationally:

2.上述法律顾问在本合同有效期内的任何时候，应甲方的要求，在中华人民共和国管辖的国内和国际范围内，为甲方提供下列法律服务：

2.1　To provide oral or/and written legal advice on legal issues concerning the businessof Party A;

2.1 就与甲方业务有关的法律问题提供口头或/和书面法律意见；

2.2　To review, revise or/and draft legal documents for the interests and benefits ofParty A. Legal documents include, but not limited to, agreements, contracts, internaldecisions, management rules, formal letters, applications or reports to Party A’s buyers,suppliers and governmental agencies;

2.2 为甲方的利益审查、修改或/和起草法律文件。法律文件包括但不限于协议、合同、内部决定、管理规定、正式信函、向甲方的买方、供应商和政府机构提交的申请或报告；

2.3　To design or revise systematically, according to the laws and regulations of Chinapromulgated in national level and provincial levels, policies and rules of employmentmanagement, procurement and sales management, products and equipment import andexport management, financial and accounting management, operations management,product after-sale-service and product liability management, intellectual propertyprotection including copyrights, patent, know-how, business secrets, trademarks,business names, domain names, etc;

2.3 根据中国国家和省级颁布的法律法规，系统设计或修订用人管理、采购与销售管理、产品与设备进出口管理、财务与会计管理、运营管理、产品售后服务与产品责任管理、知识产权保护（包括版权、专利、专有技术、商业秘密、商标、企业名称、域名等）等方面的政策和规章制度；

2.4　To initiate a legal action(s) or response to a legal action(s) in China’s legalframework, including administrative, arbitral and judicial procedures, attend disputesmediation, arbitration and litigation, and enforce final or effective decisions, arbitralawards, judicial rulings and judgments;

2.4 在中国法律框架内提起法律诉讼或应诉，包括行政、仲裁和司法程序，参加争议调解、仲裁和诉讼，执行终局或生效裁决、仲裁裁决、司法裁定和判决；

2.5　To protect the lawful rights and interests of the legal representative and employeesof Party A in China;

2.5 维护甲方在华法定代表人及员工的合法权益；

2.6　To conduct basic legal knowledge training and education on its employees atreasonable intervals per the request of Party A in order to increase legal awareness ofits employees in their daily business activities;

2.6 根据甲方要求，每隔合理时间对其员工进行基本法律知识培训和教育，以提高其员工在日常经营活动中的法律意识；

2.7　To participate in the business activities, such as financing, investment, leasing,assignment of assets and shares and reformation, invitation for public bidding, openingof bid and witnesses as Party A’s representative or legal counsel;

2.7 作为甲方代表或法律顾问参与融资、投资、租赁、资产和股权转让及改制、公开招标、开标、见证等经营活动；

2.8　To issue lawyer’s letters to transaction parties, governmental agencies or otherorganizations to protect Party A’s rights, interests and benefits;

2.8 向交易各方、政府机构或其他组织出具律师函，维护甲方权益和利益；

2.9　To undertake specific investigations and provide the investigation reports to PartyA;

2.9 承担具体调查工作，并向甲方提供调查报告；

2.10　To carry out various registration procedures in China for and on behalf of Party A;

2.10 为甲方并代表甲方在中国办理各种注册手续；

2.11　To handle other legal affairs entrusted by Party A.

2.11 办理甲方委托的其他法律事务。

3．The lawyer appointed by Party B to be the Legal Counsel for Party A shall carry outthe duties and protect the lawful rights and interests of Party A with professional skilland diligence.

3、乙方指派担任甲方法律顾问的律师，应当以专业的技能和勤勉尽责的精神履行职责，维护甲方的合法权益。

4．Pursuant to the Charging Standard of Practicing Lawyer,it has been agreed that Party A shall pay in a lump sum to Party B Annual Fee at theamount of RMB ￥　Yuan for legal services covered in Article 2 (excludingArticles ) of this Contract within three(3) days from the date on which thisContract comes into force.

4、根据《执业律师收费标准》，同意甲方在本合同生效之日起三（3）日内一次性向乙方支付本合同第二条（不含本条）所涉及的法律服务年费人民币元整。

6．Within the validity term of this contract, where a lawyer is needed when Party A isinvolved in lawsuit(s) such as litigation, mediation and arbitration, the lawyers of PartyB shall be preferred by Party A as attorney-in-fact, and a separate contract shall besigned by both parties for the said purpose.

6、在本合同有效期内，甲方涉及诉讼、调解、仲裁等法律事务需要聘请律师的，甲方应优先选择乙方律师作为委托代理人，并由甲乙双方另行签订委托合同。

7．The Legal Counsel shall work in the following way:

7.1　Irregularly, the Legal Counsel shall work within or out of the office of Party Aat any time at Party A’s request. When the Legal Counsel’s service is needed by PartyA, except for a case of emergency one day advance notice shall be given to the LegalCounsel by Party A through telephone, fax or email.

7.1 非正常情况下，法律顾问应随时应甲方要求在甲方办公室内或办公室外工作。甲方需要法律顾问提供服务时，除紧急情况外，应提前一天通过电话、传真或电子邮件通知法律顾问。

7.2　Legal Counsel shall finish their paper work for Party A mainly in Chinese orEnglish.

7.2 法律顾问应主要以中文或英文为甲方完成文书工作。

8．Party A shall provide the Legal Counsel with relevant materials and documentsfor the latter to perform his duties, and ensure the credibility and integrality of theaforesaid materials and documents, otherwise Party A shall be held responsible for allconsequences caused thereby.

8、甲方应向法律顾问提供其履行职责所需的相关材料和文件，并保证上述材料和文件的可信性和完整性，否则由此造成的一切后果由甲方负责。

9．The Legal Counsel shall keep in strict confidentiality Party A’s proprietary trade secrets, document and materials and other legal information obtained and/or availableto him during his execution of job duties.

9、法律顾问对其在履行工作职责过程中获得和/或掌握的甲方专有商业秘密、文件资料及其他法律信息应严格保密。

10．Party A shall facilitate the Legal Counsel with all conditions and conveniencenecessary for the latter to fulfill his task. The travel expenses, accommodation feesand eviction allowance in case of the Legal Counsel’s business trip to cities other thanGuangzhou needed and/or requested by Party A shall be borne by Party A.

10．甲方应为法律顾问完成任务提供一切必要的条件和便利。法律顾问因工作需要或甲方要求到广州以外的城市出差，其差旅费、住宿费、搬迁费由甲方承担。

11．The term of this contract shall cover one year, commencing from to . Provided Party A deems it necessary to renew retainer of the LegalCounsel within one month before expiration of this contract, both parties shall haveanother agreement.

十一、本合同期限为一年，自年月日起至年月日止。本合同期满前一个月内，如甲方认为需要续聘法律顾问的，双方另行协商。

12．Where Party A breaches the contract and cancels the contract without justifications,the fees paid by Party A will not be refunded, where Party B fails to carryout the contract without justifications, all the fees paid by Party A will be fully refundedto Party A.

12、甲方无故违约解除合同的，甲方已支付的费用不予退还，乙方无故不履行合同的，甲方已支付的费用全部退还甲方。

13．This Contract is governed by the laws of the People’s Republic of China. Alldisputes arising from this Contract shall be settled through friendly consultations.In case no settlement can be reached, the case in dispute shall then be submitted toGuangzhou Arbitration Committee accordance with its then prevailing procedures andrules. The award made by the said Commission shall be final and binding upon bothparties hereto. The losing party shall bear all the arbitration fees.

13、本合同适用中华人民共和国法律。因本合同发生的一切争议，双方应友好协商解决。如协商不成，争议案件应提交广州仲裁委员会按其当时的程序和规则进行仲裁。该委员会的裁决为终局裁决，对合同双方均有约束力。败诉方应承担所有仲裁费用。

14．This Contract has been executed in three originals with each party holding onecopy of equal authenticity.This Contract becomes immediately effective signature/sealby both parties.
